Terms and Conditions – Cherrycol
Last Updated: [19th December 2025]
These Terms and Conditions (“Terms”) govern your access to and use of the Cherrycol website, online services, and any purchases or business engagements with Cherrycol (“Cherrycol”, “we”, “us”, “our”). By using our website or placing an order, you agree to be bound by these Terms.
If you do not agree, please do not use our website or services.
1. Eligibility and business use
Our website and products are intended primarily for professionals and businesses in the food and beverage industry. By using our site, you confirm that you are at least 18 years old and have authority to act on behalf of yourself or your organisation.
2. Website use and content

  • You may browse, download, and print material from our site only for legitimate business evaluation and purchasing purposes.

  • All text, images, logos, graphics, and documentation are owned by Cherrycol or our licensors and are protected by intellectual property laws.

  • You may not copy, modify, resell, republish, or distribute site content without our prior written consent.

We reserve the right to modify, suspend, or discontinue any part of the website at any time without notice.
3. Account registration
Certain features (sample requests, ordering, B2B portals) may require registration. You are responsible for:

  • providing accurate and current information;

  • keeping your login credentials confidential;

  • any activity carried out under your account.

We may suspend or terminate accounts that are misused or contain false information.
4. Product information and specifications
We aim to describe our ingredients, formats, and specifications accurately, but minor variations in colour, flavour, sensory attributes, or analytical values may occur due to the natural origin of our products.
We reserve the right to update formulations, specifications, packaging, or availability without prior notice, while maintaining agreed contractual quality requirements.
5. Orders, pricing, and payment

  • Prices, taxes, shipping charges, minimum order quantities, and payment terms are communicated on our website, quotations, or order confirmations and may vary by region and customer type.

  • Orders are considered accepted only when we issue a written order confirmation or invoice.

  • Payment must be made using approved methods within the agreed credit period. We may withhold shipment or cancel orders if payment is not received or if credit limits are exceeded.

We reserve the right to refuse or cancel any order in case of pricing errors, stock limitations, regulatory restrictions, or suspected misuse.
6. Shipping, risk, and delivery

  • Delivery terms (Incoterms, carrier selection, lead times) are specified in our quotations or order confirmations.

  • Risk of loss or damage to goods passes to you according to the agreed Incoterms (for example, FOB, CIF, DAP).

  • Delivery dates are estimates and not guaranteed. We are not liable for delays caused by carriers, customs, strikes, force majeure, or events beyond our reasonable control.

You must inspect goods promptly upon receipt and notify us within the stated period if there are shortages, damage, or defects.
7. Returns and replacements
Because our products are food and beverage ingredients, returns are generally limited to cases where:

  • products do not conform to agreed specifications; or

  • we have shipped incorrect items.

Any return or replacement must be pre‑authorised by Cherrycol and handled according to our quality and logistics procedures. Unauthorised returns may be refused.
8. Use of products and compliance
Our ingredients are intended for use by qualified professionals who understand applicable food laws, safety standards, and labelling requirements in their markets.

  • You are responsible for evaluating suitability of our products for your formulations and for ensuring that your finished goods comply with all relevant regulations (including, where applicable, FSSAI, DPDP, or international food and beverage rules).

  • We do not guarantee that our products are permitted for all uses or in all jurisdictions.

Any application suggestions or technical advice we provide are non‑binding and do not replace your own testing.
9. Intellectual property and brands
All trademarks, trade names, logos, and branding associated with Cherrycol remain our exclusive property.
You may not use our marks in labelling, marketing, or advertising without a written licence or co‑branding agreement.
Formulations, processes, and know‑how described in our materials may be protected as trade secrets or intellectual property; their unauthorised use or disclosure is prohibited.
10. Prohibited uses of the website
You agree not to:

  • use the site for fraudulent, illegal, or harmful purposes;

  • attempt to gain unauthorised access to our systems or data;

  • upload or transmit malware, spam, or any content that is defamatory, obscene, or infringes third‑party rights;

  • interfere with the normal functioning of the website.

We may restrict access or take other appropriate action if we believe the site is being misused.
11. Privacy and cookies
Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms.
By using our website or providing information, you acknowledge that you have read and understood the Privacy Policy.
12. Warranties and disclaimers
Except where expressly stated in a signed agreement or product specification:

  • our website and services are provided on an “as is” and “as available” basis;

  • we make no warranties, express or implied, regarding uninterrupted access, error‑free operation, or fitness of the website for your particular purpose;

  • for products, our responsibility is limited to supplying goods that meet agreed specifications at the point of dispatch, subject to normal tolerances for natural materials.

We do not guarantee any particular commercial result, market performance, or health outcome from the use of our ingredients.
13. Limitation of liability
To the maximum extent permitted by law:

  • Cherrycol will not be liable for any indirect, incidental, consequential, punitive, or special damages (including loss of profits, revenue, goodwill, or data) arising from the use of our website or products.

  • Our total aggregate liability for any claim related to these Terms, the website, or any product supply will be limited to the amount actually paid to us for the specific order giving rise to the claim.

Nothing in these Terms excludes liability that cannot be limited under applicable law (such as liability for death or personal injury caused by our negligence where such limitation is not permitted).
14. Indemnity
You agree to indemnify and hold harmless Cherrycol, its directors, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:

  • your misuse of the website or content;

  • your breach of these Terms;

  • your non‑compliance with applicable laws or regulations in connection with your use of our products.

15. Changes to these Terms
We may update these Terms from time to time. The “Last Updated” date at the top indicates the current version.
Your continued use of the website or our services after changes are posted constitutes acceptance of the revised Terms.
16. Governing law and dispute resolution
These Terms and any disputes related to them or to our products/services will be governed by the laws of India, without regard to conflict‑of‑laws principles, unless another jurisdiction is expressly agreed in a written contract.
Any disputes will first be attempted to be resolved amicably. If no resolution is reached, disputes shall be subject to the exclusive jurisdiction of the competent courts at [your city], India, unless otherwise specified in a separate agreement.
